myFACET5 TERMS AND CONDITIONS

1. Introduction and Interpretation

The Purchaser should read these terms and conditions carefully before purchasing events and/or products.

By accessing or using this website the Purchaser agrees to be legally bound by these terms and conditions. The Purchaser should note that these terms and conditions may be modified from time to time.

In these conditions:

“PURCHASER” means the person who places an order for events and/or products and whose order is accepted by the Supplier.

“SUPPLIER” means Facet5 Limited (registered in England under number 08659593), VAT number 201454359.

“CONDITIONS” means the standard terms and conditions of purchase set out in this document and (unless the context otherwise requires) includes any special terms and conditions agreed in Writing between the Purchaser and the Supplier.

“CONTRACT” means the contract for the purchase and sale of the Goods.

“WRITING” means email/electronic communication.

The headings in these Conditions are for convenience only and shall not affect their interpretation.

2. Electronic Communications

When you use any Facet5 service or send e-mails to us, you are communicating with us electronically. We will communicate with you electronically in a variety of ways, such as by e-mail, text, myFacet5 or by posting e-mail messages or communications on the website or through the other Facet5 services such as our myFacet5 or the Support Centre. For contractual purposes, you agree that all agreements, notices, disclosures and other communications that we provide you electronically satisfy any legal requirement that such communications be in writing, unless mandatory applicable laws specifically require a different form of communication.

3. Copyright and Intellectual Property

Copyright on all events, materials and methodology remains with Facet Ltd, except where copyright exists with a third party supplier. You agree that you will not copy, resell, pass on to third parties or upload to the internet any Facet5 material or methodology that you may be given by Facet5 Ltd.

Facet5 owns all intellectual property rights in (a) all text, logo, images, headers, trademarks, service marks, design elements, and all other protected elements on the Sites; (b) any Products and resources therefore; (c) all things otherwise provided to you as a part of Facet5 services, and; (d) any other intellectual property rights afforded to Facet5. Except as stated below, Facet5 does not grant any rights to any Intellectual Property contained within the Products or as may be available to you generally through the Sites.

You agree not to make unauthorised use of or otherwise infringe upon Facet5’s Intellectual Property in anyway and understand that it is your responsibility to ensure you refrain from doing so.
Facet5 will take relevant legal action as is necessary to protect its Intellectual Property in the event of such infringement and asks that you carefully manage your use of the Products, and any other downloaded materials or services to ensure compliance with these Terms.

Facet5, under these Terms and Conditions, grants you a non-exclusive, non-transferable license to download, view, copy and print the Products you purchase solely for your personal use provided that you:

  1. abide by all copyright protections afforded to the Products, both as formally registered with the U.K. Copyright Office and as otherwise provided by law;
  2. abide by all trademark protections afforded to the Products, both as formally registered with the Patent and Trademark Office, a state trademark authority, or as otherwise provided by common law;
  3. do not use the Products or otherwise offer them on any other website, through a networked computer environment, or otherwise offer them for distribution or sale or in any manner inconsistent with Permitted Use as provided by these Terms; and
  4. do not modify the Products in any way beyond edits and completions necessary to complete template forms and other Products consistent with Permitted Use provided by these Terms. Such permission to modify Products consistent with Permitted Use in no way expands the limited license provided herein, nor does grant you intellectual property ownership in, or provide a general right to modification of, the Products.

Please remember that it is your responsibility to download the Report. Facet5 is not liable for any loss or damage to reports that occur after download or any customer’s inadvertent or mistaken download of a report such customer did not intend to purchase or download, and Facet5 will not reimburse you for such downloads

4. Fees

4.1. Upon receipt of full payment your Spotlight report will be issued to you via your myFacet5 account.

4.2. The Purchaser warrants that the credit or debit card used in connection with the transaction belongs to them and/or they have strict permission to use and that there are sufficient funds or credit facilities to meet the cost of any reports ordered. The Supplier reserves the right to obtain validation and verification of the authenticity of the credit or debit card before supplying the report.

4.3. The prices are listed in local currency and are subject as stated inclusive of delivery costs and VAT. The Supplier reserves the right to change the advertised price of product at any time.

4.4. The price payable by the Purchaser shall be the price in force at the time when the order is placed.

4.5. The Supplier reserves the right to increase the price of the reports to reflect any increase in the cost to the Supplier which is due to any factor beyond the control of the Supplier (such as, without limitation, any foreign exchange fluctuation, currency regulation, alternation of duties, significant increase in the costs of labour, materials or the costs of manufacture).

5. Terms of Payment

5.1. Payment will be made by credit or debit card and will be taken when the order is placed.

5.2. We accept all major debit and credit cards from customers in every country including Visa, Mastercard, Switch, Solo, Delta, Visa Electron or Maestro.

5.3. You acknowledge that all reports and materials are non-refundable and not returnable, under any circumstances. All sales are final.

6. Product Delivery

Delivery of reports shall be made to the Purchaser’s myFacet5 account and shall be received within 24 hours of purchase. Please note support is available Monday to Friday via support@facet5global.com, please allow up to 2 working days for response (GMT).

7. Facet5 Liability

7.1. Facet5 Ltd warrants that all purchases will be provided using reasonable care, skill and guidance to the purchaser that must fully meet the required quality and specifications. Except in respect of death or personal injury caused by Facet5 Ltd.’s negligence, or as expressly provided in this Agreement, Facet5 Ltd shall not be liable to you by reason of any representation (unless fraudulent), or any implied warranty, condition or other term, or any duty at common law, or under the express terms, for any loss of profit or any indirect, special or consequential loss, damage, costs, expenses or other claims (whether caused by the negligence of Facet5 Ltd, its partners or agents or otherwise) which arise out of or in connection with the provision of the Event inclusive of any such alterations or amendments to an Event programme content and schedule including cancellation or its attendance by you, and the entire liability of Facet5 Ltd under or in connection with the Event shall not exceed the amount of the fees, except as expressly provided in this Agreement.

7.2. Facet5 Ltd shall not be liable to you or be deemed to be in breach of this Agreement by reason of any delay in performing, or any failure to perform, any of Facet5 Ltd.’s obligations in relation to the Event, if the delay or failure was due to any cause beyond Facet5 Ltd.’s reasonable control. You shall be deemed to have satisfied yourself that the Event accords with your requirements. Facet5 Ltd warrants that the Event is structured for and contains the appropriate information to achieve the specific standards for Accreditation as are specifically described in relation to the Event. Facet5 Ltd does not warrant that such standards of Accreditation will be achieved by you.

7.3. Without prejudice to the generality of the foregoing, the following shall be regarded as causes beyond Facet5 Ltd’s reasonable control:

  • act of God, explosion, flood, pandemic, fire or accident;
  • war or threat of war, sabotage, insurrection, civil disturbance or requisition;
  • acts, restrictions, regulations, bye-laws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority;
  • import or export regulations or embargoes;
  • strikes, lock-outs or other industrial actions or trade disputes (whether involving employees of the Supplier or of a third party);
  • difficulties in obtaining raw materials, labour, fuel, parts or machinery;
  • power failure or breakdown in machinery.

8. Changes to this Site

We reserve the right to make changes to this site, the disclaimers and these terms and conditions at any time.

9. Stock Photography

Stock photography may be used on the Sites – all images are being used under license through the company providing the stock images.

10. Data Protection

10.1. You understand that Facet5 Ltd and its associated partners (including companies organisations, or agents processing data on its behalf) will hold and use personal data supplied by you for administration purposes as per GDPR requirements.

10.2. Facet5 stores information which is provided by yourself or your company when you are registered and records that are generated when you use the service.

10.3. We collect:

  • Contact information, such as surname, given name and email address.
  • Your responses to a Facet5 Personality Questionnaire, TorQ Assessment, TeamScape360 Questionnaire or Strategic Leadership Review.
  • The information mentioned above is either provided by you or your activity using the services, or information we receive from your Organisation if they are purchasing for you.

12. Modern Slavery Statement

At Facet5 we are committed to playing our role in eradicating modern slavery. We are taking the appropriate steps to ensure that everyone who works for Facet5 benefits from a working environment in which their fundamental human rights are respected and anyone that we do business with also upholds these principles.

The following company policies support us in ensuring that modern slavery is not taking place in our supply chains or business.

12.2.1. Code of Conduct

Describes what we must do and how we must behave to ensure we have the trust of all our stakeholders, to create better outcomes in the right way, not at any cost, in line with our purpose and values.

12.2.2. Being a responsible employer

To ensure that we recruit and treat employees fairly, eliminating modern slavery at all costs, our human resources (HR) policies set out our procedures on how we:

  • recruit and select employees in a fair, lawful and professional manner, both for internal and external candidates;
  • treat all employees fairly during their employment and, if there is an occasion when an employee does not feel that they have been treated fairly, there are procedures in place to raise a grievance;
  • manage the exit of an employee from the business in a fair and consistent manner.

We provide fair working conditions for all our employees including terms and conditions of employment, remuneration, working hours, health and safety, holiday entitlements and benefits.

These are applied according to statutory requirements. Our employees’ pay will not be lower than that required by local law, or, in the absence of a law, the level paid generally within that industry.

Hours of work will be in line with local law or, in the absence of a law, the norm within that industry, and shall not be excessive. Employees shall not be contractually required to work more than 48 hours per week and overtime will only be worked on an optional basis.

Forced or compulsory labour is prohibited.

Employees will not be forced into involuntary labour and coercion at work is not acceptable.

Financial penalty as a disciplinary sanction is prohibited.

The employment models deployed will be in line with territory-specific law and practices. Under these practices there will not be excessive use of alternative models, such as sub-contracting or labour only contracting.
